SMILE App Privacy Policy

SMILE: Learning Platform is owned and operated by Golden Agri-Resources Ltd. The following Conditions govern your use and/or access to the App. By using or accessing the App, you are deemed to have accepted and agreed to be bound by these Conditions. It is your responsibility to ensure that you have read and understood these Conditions and any accompanying risks, obligations and responsibilities.

Please read these terms of use carefully before you start to use and/or access the App. If you do not agree to any part of these Conditions, please do not use and/or access the App.

1. DEFINITIONS AND INTERPRETATION

1.1 Definitions

“Conditions”: The terms and conditions contained herein and any amendments from time to time, as published on the App.

“Golden Agri-Resources Ltd”, “GAR”, “we”, “our” and “us”: Golden Agri-Resources Ltd

“Personal Data”: Personal Data can include information that can be used to identify you, such as your name, email address, and any other details you provide when creating an account or using our services.

“you” or “your”: Individuals who are employed under Golden Agri-Resources Ltd and/or its subsidiaries and affiliates

1.2 Interpretation

(a) The headings in these Conditions are inserted for convenience only and shall not affect the interpretation of these Conditions.

(b) Unless the context otherwise requires, words importing the singular shall include the plural and vice versa, and words importing a specific gender shall include the other genders (male, female or nonbinary).

(c) Any reference to conduct includes, without limitation, an omission, statement or undertaking, whether or not in writing.

2. ACCESS AND USE OF THE APP

2.1 Terms of Use. By using and/or accessing the App, you hereby agree that:

(a) You will not copy or distribute any part of the App in any medium without our prior written authorization.

(b) You will not use the App for any purpose that is unlawful or prohibited by these Conditions or to solicit the performance of any illegal activity or other activity that infringes our rights or the rights of others. Notwithstanding any other rights or restrictions in these Conditions, you may not use the App to:

transmit via or through the App any information, data, text, images, files, links, or software except in connection with your authorized use of this App or in response to specific requests for information by us,
introduce to the App or any other system viruses, worms, Trojan horses, and/or harmful code,
obtain unauthorized access to any computer system,
impersonate another person or misrepresent your affiliation,
invade privacy or violate rights (including intellectual property),
misrepresent identity or use a false email,
tamper with the App,
conduct fraudulent activities, or
collect or harvest user information.

2.2 Access to the App. The accessibility and operation of the App rely on technologies outside our control. We do not guarantee continuous accessibility or uninterrupted operation.

2.3 Relying on Information. The App is provided as a general information source only and does not constitute legal, financial, or professional advice.

2.4 Links to Third Party Apps. The App may contain links to third party platforms. We are not responsible for the content or practices of these external sites. Each GAR subsidiary may operate its own platform, which is considered a “third party App”.

3. CHANGES TO THE APP

We may alter, suspend, or discontinue the App at any time. We may terminate or suspend your access without notice. Content may be out of date, and we are under no obligation to update it.

4. TRANSACTIONS CONCLUDED THROUGH THE APP

Transactions made via the App are governed by separate specific terms. Nothing in the App is binding upon Golden Agri-Resources Ltd with respect to such transactions.

5. LIMITATION OF LIABILITY

5.1 No Representations or Warranties. The App and its contents are provided “as is” without warranty of any kind.

5.2 No Liability for Indirect or Consequential Losses. We are not liable for any indirect losses arising from your use or inability to use the App.

5.3 Third Party Service Providers. Your access to the App may involve third parties. We are not liable for their acts or omissions.

5.4 Liability Implied by Law. Nothing in this section limits liability that cannot be excluded by law.

6. INDEMNITY

You agree to indemnify and hold us and our affiliates harmless from any losses or claims arising from your use of the App or breach of these Conditions.

7. INTELLECTUAL PROPERTY RIGHTS

7.1 Ownership. All content on the App is owned or licensed by us.

7.2 Restricted Use. You may not use or reproduce content from the App without our prior permission.

8. GENERAL

8.1 Amendments. We may amend these Conditions at any time. Continued use of the App constitutes acceptance.

8.2 Correction of Errors. We reserve the right to correct any errors on the App without notice.

8.3 Illegality and Severability. If any term is found to be invalid, the rest remain unaffected.

8.4 Privacy Policy and Personal Data Protection

(a) App Data: We may use app data to enhance your experience. It does not collect personal information and can be disabled through your device settings.

(b) Personal Data Protection: By using the App, you consent to our use of your data for service provision, identity verification, communications, and compliance with laws.

Disclosure:

Data may be shared with third parties for processing or legal reasons.
You may withdraw consent by contacting our Data Protection Officer.
You may request access or correction of your Personal Data, subject to a fee.
Security measures are in place to protect your data, though absolute security is not guaranteed.

8.5 Governing Law. These Conditions are governed by Singapore law. Disputes shall be resolved in Singapore courts.
